AXYMS Terms of Service and End User License Agreement

These terms govern access to the AXYMS website, portal, and connected data platform unless a signed customer agreement says otherwise.

Last updatedJuly 9, 2026

1. Agreement

These Terms of Service and End User License Agreement apply when you access or use AXYMS websites, portals, applications, APIs, integrations, data workflows, or related services. By using AXYMS, you agree to these terms.

If you use AXYMS on behalf of a company, you represent that you are authorized to bind that company. If a signed order form, master services agreement, data processing agreement, or other written agreement applies, that written agreement controls if it conflicts with these terms.

2. The Service

AXYMS provides software and data infrastructure for company information, source-connected workflows, operational evidence, dashboards, and AI-assisted employee sessions. Services may include hosted portal access, connectors, managed data pipelines, MCP servers, reporting, recommendations, and support.

3. Accounts and Access

You must provide accurate account information and keep credentials secure. You are responsible for activity under your account and for promptly notifying AXYMS of suspected unauthorized access. Customer administrators are responsible for managing users, roles, tenant access, and connected data sources.

4. Authorized Use

You may use AXYMS only for lawful business purposes and according to your permissions. You may not:

  • Access data, systems, tenants, or accounts without authorization.
  • Interfere with, disrupt, overload, scan, or attack the service.
  • Reverse engineer, decompile, or attempt to derive source code except where law expressly allows.
  • Use AXYMS to violate law, privacy rights, intellectual property rights, or contractual obligations.
  • Upload malicious code or use the service to transmit harmful, deceptive, or unlawful content.
  • Bypass usage limits, security controls, review gates, or approval workflows.

5. Customer Data and Permissions

Customer data remains owned by the customer or its licensors. You grant AXYMS the rights needed to host, process, transmit, display, analyze, and otherwise use customer data to provide, secure, support, and improve the service.

You are responsible for the accuracy, legality, and authorization of customer data and for the permissions granted to connected services such as Google Cloud, Intuit, Stripe, and other approved integrations.

6. Third-Party Services

AXYMS may integrate with third-party services selected or authorized by a customer, including Google Cloud infrastructure, Intuit QuickBooks Online, and Stripe. Third-party services are governed by their own terms and privacy policies. AXYMS is not responsible for third-party services outside AXYMS control.

7. Fees and Billing

Paid services are billed according to the applicable order, plan, invoice, or written agreement. Fees are non-refundable except as required by law or stated in a written agreement. Taxes, third-party charges, and integration-provider fees may be the customer's responsibility.

8. Confidentiality

Each party may receive non-public business, technical, financial, product, or operational information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these terms or the applicable written agreement.

9. Intellectual Property

AXYMS and its licensors own the service, software, documentation, designs, workflows, models, templates, and related intellectual property. Subject to these terms, AXYMS grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business purposes.

Feedback may be used by AXYMS without restriction or obligation, provided we do not disclose customer confidential information in doing so.

10. AI-Assisted Outputs

AXYMS may use AI-assisted systems to generate summaries, recommendations, classifications, drafts, explanations, or other outputs. Outputs may be incomplete or incorrect and should be reviewed before being used for important business, legal, financial, employment, security, or operational decisions. Customers remain responsible for decisions made using AXYMS outputs.

11. Security and Availability

AXYMS uses reasonable safeguards designed to protect the service and customer data. We may suspend access to protect the service, comply with law, prevent misuse, or address security risk. The service may be unavailable during maintenance, incidents, provider outages, or events outside AXYMS control.

12. Disclaimers

The service is provided on an "as is" and "as available" basis unless a written agreement says otherwise. To the fullest extent allowed by law, AXYMS disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free operation.

13. Limitation of Liability

To the fullest extent allowed by law, AXYMS will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities. AXYMS's total liability for claims relating to the service will not exceed the amounts paid to AXYMS for the service giving rise to the claim during the twelve months before the event that caused the claim, unless a written agreement states a different limit.

14. Termination

You may stop using AXYMS at any time. AXYMS may suspend or terminate access if you violate these terms, fail to pay amounts due, create security or legal risk, or if continued service is no longer commercially or legally practical. Terms that by their nature should survive termination will survive.

15. Changes

We may update these terms from time to time. The updated terms will be posted on this page with a new last updated date. Continued use after changes become effective means you accept the updated terms.
